Introduction

OneGreenDiary Software Pvt. Ltd. (“Company,” “We,” “Us,” or “Our”) is the publisher of “OneGreenDiary,” “RISE POS,” “OGD BIZ (Android and iOS),” and “OGD Enterprise” and provides hosting, support, and related services for the same.
The software is made available under an annual commercial subscription license to merchants and other users as specified in the source code or documentation.

Scope

This Agreement defines the terms under which you (“You,” “Your,” or “Subscriber”) may use our free, trial, or paid services.
If You are entering into this Agreement on behalf of a business or organization, You represent that You have the authority to bind that organization to these terms.

Definitions

• Services: Software-as-a-Service, hosting, and support services provided by Us.

• You / Your: The subscriber, merchant, or user of our Services.

• We / Us / Our: OneGreenDiary Software Pvt. Ltd. or its Services.

• Confidential Information: Any information disclosed by one party to the other that is reasonably understood to be confidential in nature.

Services

We provide commercial software licenses, hosting, and support services. Software access is delivered via supported web browsers, Android applications, and iOS/iPadOS applications.
An active internet connection is required to use our Services.

Service Levels

• Your data is hosted in international data centers. The uptime and service levels of those data centers apply to You.

• We will make reasonable efforts to ensure that servers managed by Us remain operational 24×7.

Confidentiality & Privacy

• Your data remains Your property and is treated as Confidential Information.

• We apply the same level of protection to Your Confidential Information as We do to Our own.

• We employ reasonable security measures including rights management and password encryption. For security reasons, details of such measures may or may not be published.

Purchasing & Subscription

• Services may be purchased via Our website, online payment, or cheque.

• If payment is not received, We reserve the right to terminate Services.

• Upon termination, Your data will be retained for 30 days, during which You may request a copy (e.g., reports or consumer data). After 30 days, data may be permanently deleted.

Pricing & Rate Changes

• We reserve the right to revise pricing or the pricing model at any time.

• In the event of a price increase, existing subscribers may continue under the old rate for three (3) months.

• We may also modify plan resources (e.g., number of users, devices, or features) for free or paid plans at Our discretion.

• Note: The OneGreenDiary Merchant App is a commercial license product. It cannot be hosted or supported by third-party vendors, nor can You self-host.

Backups

• While We maintain redundant backups, We do not guarantee data recovery in all circumstances.

• You are advised to periodically request a copy of Your backup during Your subscription term.

Warranty & Guarantee

• Disclaimer: Services are provided “AS IS” and on an “AS AVAILABLE” basis, without any express or implied warranty.

• We disclaim all warranties, including merchantability, non-infringement, fitness for a particular purpose, or that Services will be error-free, uninterrupted, virus-free, or secure.

• You are solely responsible for the accuracy of the data You enter. We are not liable for any business or financial loss arising from Service usage.

• Satisfaction Guarantee: If, within 30 days of subscription or renewal, We fail to resolve Your concerns, You may request a 100% refund of the annual subscription fees (if paid in advance). Refunds will be processed within 30 days.

Liability

Our maximum liability to any subscriber shall not exceed INR 1,000/- (Rupees One Thousand only) under any circumstance.

Indemnity

• We will indemnify You against third-party claims that Your authorized use of Our Services infringes on their intellectual property rights.

• You will indemnify Us against third-party claims that arise due to Your data, actions, or content hosted on Our platform.

Termination

• Services automatically terminate upon subscription expiry unless renewed.

• We reserve the right to suspend or terminate Services in cases of abuse or violations of this Agreement.

• Merchants must not list or sell items prohibited under local or national laws. If such activity is detected, Services will be terminated immediately without refund.

Refund Policy

Upon termination, any unused prepaid credits will be refunded by cheque within 30 days.

Data Access After Termination

You may request Your data within 30 days of termination by raising a support ticket. Data will be provided as a database dump.

Agreement Modification

This Agreement may be amended from time to time. Any updates will be communicated to You via email.

Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, India.
